Bylaws –  Israel Quilters Association

1. Name

The Israel Quilters Association (IQA) was established on October 21, 1992, and was registered with the certification Authorities registrar (association no. 6-140-022) on May 6, 1993.

2. Purpose

2.1 The IQA is a non-profit organization

2.2 The IQA was established to educate, promote and instill the craft of quilting in Israel. The IQA will support and advance quilting by encouraging and sponsoring workshops and exhibitions in Israel.

3. Changes in the bylaws

3.1 The IQA is prohibited from changing its name or purpose.

3.2 The IQA is allowed to change the bylaws with the exception of article 3.1, in a majority vote of all those entitled to vote.

4. Membership

4.1 Membership in the IQA is open to anyone who takes an interest in quilting.

4.2 Individuals interested in joining the IQA will contact the secretary.

5. Rights and obligations of members

5.1 Members are obligated to upholding the bylaws and decisions of the general assembly.

5.2 IQA members are entitled to vote in every general assembly meeting and will each have one vote.

5.3 An IQA member is entitled to vote and be elected to the IQA Committee or the Comptroller’s Committee

5.4 IQA members are entitled to take part in and enjoy all activities and services provided by the IQA.

5.5 Members will be charged annual membership dues determined by the IQA Committee.

5.6 Membership is on an individual basis, is not transferable and cannot be bequeathed.

5.7 Expiration of membership does not exempt the member from paying full membership dues for the period before expiration of membership.

6. Expiration of membership

6.1. Membership in the IQA expires:

6.1.1. With the passing of a member

6.1.2. Upon canceling membership (if membership dues were not paid)

6.1.3 Upon expulsion form the IQA

6.2 The general assembly can decide, based on the recommendation of the IQA committee, to expel a member from the IQA for one of the following reasons:

6.2.1. The member did not pay their dues.

6.2.2. The member did not abide by the bylaws or decisions of the general assembly.

6.2.3. The member acted against the interests of the IQA.

6.2.4. The member was charged with a crime involving moral turpitude.

6.3 The committee will not recommend the expulsion of a member before granting the member a right to a hearing, and will not recommend expulsion according to articles 6.2.1. or 6.2.2. or 6.2.3. before issuing a warning and providing ample time for the member to resolve the problem.

7. Notifying members

Invitations, warning and other notices will be delivered either by hand or sent by mail to their personal address as registered in the IQA lists. Addresses will be updated following a formal written request of the member.

8. The General Assembly

8.1 The general Assembly will be convened once a year at the time of the submission for approval of the financial report.

8.2 The IQA Committee can convene a special general assembly at any time upon the written request of the Comptroller’s Committee or 10% of the members.

8.3 The IQA Committee will determine the day, time and venue of the General Assembly.

8.4 Notice of the general assembly meeting will be given at least 20 days in advance and include date, time, venue and topics on the agenda..

8.5 The general Assembly will be presented activity reports by the IQA committee and Comptroller’s Committee, and financial reports for approval.

8.6 The General Assembly will not begin with less than 25% of IQA members present. If 25% of IQA members are present at the session opening, the general assembly can continue its discussions and reach decisions even if the number of participants decreases as the meeting progresses.

8.7 If less than 25% of IQA members are not present at the opening, then a second meeting will be convened 30 minutes after the first, and will convene regardless of the number of members present.

8.8. Topics for the agenda should be submitted to the IQA Committee at least 10 days before it takes place.

8.9 At each general assembly meeting a chairperson, who will act as moderator will be chosen among IQA members as well as a secretary.

8.10 Decisions will be determined by a majority vote of those voting, unless if the law or bylaws state otherwise.

8.11 The secretary will record the minutes of the meeting, which will be

signed and approved by the Chairperson.

8.12 The signed minutes will be distributed to all IQA members.

9. Elections to the IQA institutions

9.1 Secret elections for the IQA institutions will be held once every two years

9.2. Elections for the IQA Committee will be held at different times than the elections for the Comptroller’s Committee

9.3 Elections can be held at the general Assembly, or in writing, by mail.

9.4 Members serving in the IQA institutions will be elected for a term of two years, and for not more than two consecutive terms in each institution.

9.5 A member that was nominated for the IQA Committee or the Comptroller’s Committee and was elected to serve in one of the institutions will remove his name from the list of candidates for the other institution. If they resign in the middle of term, they will be allowed to serve in the IQA or Comptroller’s Committee only after a set period as determined in article 9.6, and not in place of a member who resigned.

9.6. After serving one term, or two consecutive terms in one of the IQA institutions, a member will wait at least 2 additional terms before submitting candidacy to any of the IQA institutions.

9.7 A member who resigns in the middle of their term will be considered as having served a whole term, and will have to wait according to article 9.6 before serving another term in the IQA institutions.

9.8 A member who served in one of the institutions for one term can continue to serve for another term in the same institution and cannot submit his candidancy for another institutions without waiting for the period as stated in article 9.6.

10. Limitations to serving the term

10.1. An individual cannot serve at the same time as a member of the IQA Committee and as a member of the Comptroller’s committee at the same time.

10.2 The following cannot serve in the IQA institutions:

10.2.1 A person who is not a member of the IQA

10.2.2. A person who has been hired by the IQA and not as a committee member.

11. Dismissing an elected Member

11.1 The general Assembly has the authority to relieve a member of his position as a member of the IQA Committee or the Comptroller Committee

11.2 Members of the IQA Committee or the Comptoller Committee are not allowed to br elected without the approval of the general assembly.

11.3 An elected and serving member will be relieved of office if declared bankrupt or psul din

12. The IQA Committee

12.1. Members of the IQA will choose 5 representatives to serve in the IQA Committee.

12.2 The selection of a chairperson and the appointment of positions inside the committee will be carried out in the first meeting after the elections, which will be chaired by the member who received the highest umber of votes, and in the presence of the comptroller committee.

12.3 A member of the committee can resign at any time by submitting a written resignation to the committee

12.4 If one of the members resigns, they will be replaced by the candidate that received the next highest number of votes in the last election.

12.5 If there are no other candidates that were nominated in the last elections, the committee has the power to celect another member of the IQA to serve in the committee until the next general assembly; until such an appointment the members of the committee are allowed to continue and function as a committee.

12.6 The same laws apply to the chairperson. If they resign, a new member of the committee will replace them, as states in articles 12.4 and 12.5. The committee will choose a new chairperson.

12.7 Id a committee member is unable to fulfill his duties for a period of up to 6 months, the remaining members of the committee can choose a member of the IQA to replace them until they return. If they are unable to fulfill their duties for a period of more than 6 months, then they must resign.

12.8 A member of the IQA who is in a zinun period as designated in article 9.6 cannot act as a replacement for a committee member.

12.9 a member of the ommittee who is absent from three consecutive committee meetings for no justified reason and is not actively taking part in the activities of the IQA the committee can recommend that he be relieved of their dutied at the next general assembly meeting.

12.10 The committee has the authority to set its own meetings, the summons to the meetings and their management.

12.11 The decision in the committee will be determined by a majority vote; if there is a draw, the decision will not be valid. If there is full agreement, then decisions can also be accepted outside meetings.

12.12 The committee wll keep minutes of its meetings and its decisions. At the end of each meeting all decisions must be duly noted. At the beginning of each meeting the minutes of the previous meeting must be approved.

12.13 The committee must delegate two of its members to sign in the name of the association on necessary documents, and to execute on its behalf actions which are within its authority.

12.14 Two members who have been authorized will have the right to sign checks with the addition of the IQA stamp.

12.15 Toward the end of the year the committee will prepare a proposed work plan for the coming year, and this plan will serve as abasis for calculating the overall budget and membership fees.

12.6 At the end of the fidcal yeat, a financial report will be prepared by an accountant.

12.7 The yitra caspit of the passing year will be divided as follows:

12.17.1 50% will be transferred as reserves for ongoing activity, and no less than 10% of the expenses of the passing year.

12.17.2 the remaining sum, and not more than 50% of the left over money of the passing year will be used for special expenses.

13. Functionaties in the IQA Committee

13.1 Chairperson of the IQA: Will serve as chairperson of the committee and will chair all Committee meetings. Will represent the IQA on an official …will open and close all IQA gatherings (except for the general Assembly). In addition will liaison amd coordinated between committee members and will be responsible for proper management.

13.2 Secretary: Will be responsible for updating membership records and will keep minutes of all committee meetings

13.3 Treasurer: wwill keep proper records of all income and expenses and will prepare an annual financial report, present the books to the Comptroller Committee at the end of the fiscal year, and will pay expenses after approval by the committee.
